Terms, Unstuck style

The legal text + a plain-English version, side by side.

Modern B2B sales runs on 47 SaaS tabs and a Slack notification every 12 seconds. Nobody is reading 14,000 words of terms. Statistically, not even you.

So we summarized the parts that matter into the cards below — color-coded, scroll-through, vibe-only. The full legal text is right under that, with a plain-English column next to every section.

The cards are the gist, not the contract. The legal text below is what binds. If they disagree, the legal text wins — that's just how this works.

AI helps. AI doesn't decide.

Parts of the engine — signal classification, ICP fit scoring, persona scoring — use machine learning, including LLMs, to read unstructured text and assign labels. Treat model outputs as advisory: useful directional signal, not a court verdict. We don't use your data to train any model. Whatever the AI produces from your inputs is yours.

Credits, not surprises.

Pricing is in credits, not in mystery. Every API action has a published credit cost. Same signal received twice in a billing period? Charged once. Burn through your monthly credits early? Overage bills pro-rata at the listed rate, not as a "let's talk" surprise on your next invoice. Unused credits roll over up to 2× your monthly allotment. Price changes get 30 days' notice.

Enrichment is a waterfall.

Hit our Enrichment API and it walks down a ranked stack of third-party providers we vet — the ones that tend to have what you're looking for. We don't promise the result is perfect — these are external sources, not the truth. We do swap providers out when they consistently underdeliver.

Cancel anytime.

No annual lock-in. No exit interview. No email from someone named Brad asking for "just 15 minutes to share some value with you." There's a button in the dashboard. You press it. Billing stops at the end of the current period — and we won't even ask why.

Your data leaves with you.

When you cancel, we delete your records — signals, leads, companies, scores, enrichment results — within 30 days. Want them sooner, or as a CSV / JSON / Parquet export first? Email us, we'll send. The only thing we keep are anonymized usage aggregates that can't be traced back to you. Your data goes where you go.

1.Definitions

1.1. "Website" refers to https://unstuckengine.com/ and all related web pages and subdomains.

1.2. "Services" refers to the products and APIs offered by Unstuck Engine, including the Signals API, Qualification API, Enrichment API, Records API, Insights API, the Unstuck CLI, the Unstuck MCP Server, the Unstuck Web UI, and any related documentation, features, and integrations.

1.3. "Customer Data" refers to data submitted to or generated within the Services on your behalf, including signals, leads, companies, ICP and persona definitions, scores, and enrichment results.

When we say "Services," we mean the actual things you can use today: our APIs (Signals, Qualification, Enrichment, Records, Insights), the CLI, the MCP server, and the web app. Anything you put into them or get out of them is "Customer Data."

2.Property Rights

2.1. All intellectual property rights, including copyrights, trademarks, and patents, in and to the Website and the Services are the property of Unstuck Engine or its licensors. Customer Data, and any outputs generated by the Services from Customer Data (including leads, scores, classifications, and enrichment results), are owned by you, subject to the licenses you grant in this Agreement.

2.2. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Website and the Services for your internal business purposes. This license does not permit redistribution of the Services, scraping or replicating the Services in bulk, or any reverse engineering of underlying systems.

2.3. You grant Unstuck Engine a limited license to host, process, transmit, display, and otherwise use Customer Data solely as necessary to provide and operate the Services for you.

We own our software and brand. You own the data you put in and the leads, scores, and enrichments that come out. We get just enough license to actually run the product for you — nothing more.

3.User Obligations

3.1. You agree to use the Website and the Services in compliance with all applicable laws and regulations, including data protection, anti-spam, and email marketing laws in the jurisdictions where you operate or contact recipients.

3.2. You agree not to engage in any activity that may disrupt or interfere with the proper functioning of the Website or the Services, including hacking, transmitting malware, denial-of-service attempts, or unauthorized access.

3.3. You are responsible for maintaining the confidentiality of your account credentials and API keys, and for all activity that occurs under your account. You agree to notify Unstuck Engine promptly of any unauthorized use or suspected breach.

3.4. You agree not to use the Website or the Services for any unlawful, abusive, fraudulent, or deceptive purpose, including sending unsolicited communications in violation of applicable law.

Don't use Unstuck to spam, scrape, attack, or break the law. Keep your API keys safe. If something looks compromised, tell us right away.

4.Privacy

4.1. The collection and use of personal information through the Website and the Services are governed by the Privacy Policy. By using the Website and the Services, you consent to the collection, storage, and use of personal information in accordance with the Privacy Policy.

4.2. To the extent Unstuck Engine processes personal data on your behalf as a processor or service provider, the parties will execute a Data Processing Addendum (DPA) on request.

How we handle personal data is in the Privacy Policy. If you need a Data Processing Addendum (DPA) for your compliance team, we'll sign one — just ask.

5.Data Retention & Termination

5.1. You may terminate your account at any time through the Web UI or by contacting support. Termination takes effect at the end of the then-current billing period unless otherwise agreed.

5.2. Upon termination, Unstuck Engine will delete Customer Data — including stored signals, leads, companies, scores, and enrichment results — within thirty (30) days, except where retention is required by law or for the resolution of disputes.

5.3. Unstuck Engine may retain anonymized, aggregated metrics derived from Customer Data for product analytics, security monitoring, and operational reporting. Such metrics do not identify you, your accounts, or your contacts.

5.4. On request made before deletion, Unstuck Engine will provide an export of your Customer Data in a commonly used, machine-readable format.

Cancel whenever — billing stops at the end of the period. We delete your data within 30 days of termination. Want an export first? Ask, and we'll send it. We keep only anonymized stats that can't be traced back to you.

6.Third-Party Data & Enrichment Waterfall

6.1. Enrichment results provided through the Services are derived from a ranked waterfall of third-party data providers vetted and operated by Unstuck Engine. Unstuck Engine does not guarantee the accuracy, freshness, completeness, or fitness for purpose of any data returned by the enrichment waterfall.

6.2. Unstuck Engine is not responsible for the acts, omissions, or data quality of upstream third-party providers, but will use commercially reasonable efforts to remove or replace providers that materially fail to perform.

Contact data comes from a ranked stack of third-party providers we vet and operate — not from one magic source. We're not on the hook for upstream provider quality, but we do swap them out when they consistently underdeliver.

7.AI-Assisted Processing

7.1. Portions of the Services — including signal classification, ICP fit scoring, persona scoring, and certain enrichment steps — may use machine learning models, including large language models, to interpret unstructured text and assign labels, scores, or summaries.

7.2. Unstuck Engine does not use Customer Data to train, fine-tune, or otherwise improve any machine learning model, whether its own or any third party's, except as strictly necessary to generate a single response to your request.

7.3. Model outputs are deterministic only to the extent the underlying models are deterministic. Scores, classifications, and summaries should be treated as advisory and reviewed before any high-stakes use.

7.4. Outputs generated by the Services using your inputs are owned by you, as set out in Section 2.

We use AI (including LLMs) to read text and produce scores or labels. We do not train models on your data. Treat AI outputs as advice, not gospel. Whatever the AI produces from your inputs is yours.

8.Pricing and Payment

8.1. Pricing for the Services is published at https://www.unstuckengine.com/pricing and is denominated in usage credits. The credit cost of each API action and the per-credit price for each tier are set out on that page and form part of this Agreement by reference.

8.2. You agree to pay all fees and charges associated with the Services in accordance with the pricing plan and credit allotment selected by you. Duplicate signals received within the same billing period are not billed twice.

8.3. Usage in excess of your plan's credit allotment is billed pro-rata on a per-credit basis at the then-current overage rate. Unused credits roll over to subsequent billing periods up to a maximum balance of two (2) times your monthly allotment.

8.4. All payments are non-refundable, except as required by applicable law or as otherwise expressly specified in writing by Unstuck Engine.

8.5. Unstuck Engine may change pricing for new billing periods on no less than thirty (30) days' notice posted to the Website or sent to the billing email on file.

9.Liability

9.1. To the maximum extent permitted by applicable law, Unstuck Engine shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the use of the Website or the Services.

9.2. Unstuck Engine makes no warranties or representations regarding the accuracy, reliability, or completeness of the information and content provided on the Website or generated by the Services, including enrichment results, scores, and AI-assisted outputs.

9.3. Unstuck Engine shall not be liable for errors, omissions, or inaccuracies in the information and content provided on the Website.

9.4. You acknowledge and agree that the use of the Website and the Services is at your own risk. Unstuck Engine's aggregate liability under this Agreement shall not exceed the fees paid by you to Unstuck Engine in the twelve (12) months preceding the claim.

We're not liable for downstream losses. Outputs (especially enrichment data and AI-generated scores) come with no warranty. If something goes wrong and you have a claim, our total exposure is capped at what you paid us in the last 12 months.

10.Indemnification

10.1. You agree to indemnify and hold Unstuck Engine, its affiliates, officers, directors, employees, and agents harmless from any claims, damages, liabilities, losses, costs, or expenses, including reasonable attorneys' fees, arising out of or in connection with your use of the Website or the Services, your Customer Data, or any violation of this Agreement.

If someone sues us because of how you used Unstuck or what you put into it, you cover our legal costs. Standard SaaS indemnity.

11.Modifications to the Agreement

11.1. Unstuck Engine reserves the right to modify or amend this Agreement at any time. Material changes will be communicated by updating the "Last updated" date at the top of this page and, where appropriate, by direct notice to the billing email on file.

11.2. Your continued use of the Website or the Services after any modifications or amendments to this Agreement constitutes your acceptance of such modifications or amendments.

We can update these terms. We'll bump the date at the top, and for big changes we'll email the billing contact. If you keep using Unstuck after a change, that's your acceptance.

12.Governing Law and Jurisdiction

12.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles.

12.2. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

13.Severability

13.1. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not be affected or impaired.

14.Entire Agreement

14.1. This Agreement, together with the Privacy Policy and any order form, DPA, or written addendum executed between the parties, constitutes the entire agreement between you and Unstuck Engine regarding the Website and the Services, and supersedes all prior agreements and understandings on the subject.
